ACRA approves most Singapore company registrations soon after payment — the S$15 name reservation and the S$300 incorporation are often done the same morning. The delays in setting up a Singapore company are rarely the regulator’s. They are the founder’s own undecided choices: financial year end, share split, registered office, and the documents a bank’s due diligence will ask for.

Most guides to Singapore incorporation list the steps. This one starts with a morning we still talk about at VIVOS, because it shows where the time actually goes. The client is real and anonymised; the timings and fees are ACRA’s own, checked on 28 September 2026.
ACRA — the Accounting and Corporate Regulatory Authority, Singapore’s company registrar — says most registrations of a local company are approved soon after payment. Complex applications can take up to 15 working days, and registrations that need approval from a referral authority (for example, a regulated financial or education business) take 14 to 60 days (ACRA, Registering a local company via Bizfile, updated 24 September 2026). The company name must be reserved first: most name applications are also approved soon after payment, ACRA’s own review of a proposed name takes up to three working days when it needs one, and referral cases up to 15 working days (ACRA, Reserving a business name via Bizfile, updated 25 March 2026).
When approval comes, the Bizfile inbox receives a notice of incorporation, the company’s UEN (unique entity number) and a link to a free copy of its Business Profile. When a corporate service provider files the registration, ACRA does not need a separate endorsement from each position holder — which removes a wait that self-filed applications can have (ACRA, updated 24 September 2026).
The government fees are S$15 for the name application (non-refundable if the name is unavailable) and S$300 for the registration. The registration itself asks for a set of decisions that cannot be left blank: the financial year end, a Singapore registered office address and office hours, a company email, each director’s and shareholder’s identity, residential address and contact address, the share capital and how it is allotted, the constitution (a model constitution or a customised one), and declarations about nominee directors, nominee shareholders and registrable controllers (ACRA, updated 24 September 2026). Foreigners must file through a registered CSP, and at least one director must meet the local residency rules.
A client flew in from Europe on a Monday. He had blocked the whole week for Singapore paperwork, because at home that is what setting up a company takes. We met at nine. By the time the coffee arrived, ACRA had approved his company.
What took the rest of his week was not Singapore. It was the decisions he had not made yet. Which financial year end? How should the shares be split with his co-founder? Which address would be the registered office? And the proof-of-address documents that the bank’s due diligence would ask for, which were sitting in a drawer at home. Every delay that week was a decision, not a process.
This is the list we now send every founder before they fly. Each item is either required by ACRA at registration or requested by a bank straight after it.
| Decision | Why ACRA or the bank needs it | Typical mistake | Decide before day 1? |
|---|---|---|---|
| Company name and business activity (SSIC code) | Name application; the SSIC code describes what the company does | Picking a name too close to an existing one, or a vague activity code | Yes |
| Financial year end (FYE) | Required at registration; sets when the AGM (within 6 months of FYE) and annual return (within 7 months) fall | Defaulting to 31 December without checking the tax and reporting calendar | Yes |
| Directors, including the locally resident director | At least one locally resident director is required at registration | Assuming a foreign founder can be the only director | Yes |
| Shareholders and share split | Share capital and allotment are filed at registration and appear on the Business Profile | Co-founders who have not agreed percentages or vesting | Yes |
| Registered office | Must be a Singapore address, open to the public at least 3 hours each business day (fine up to S$5,000) | Using a home address abroad or an address that cannot receive legal notices | Yes |
| Residential and contact addresses of every position holder | ACRA sends official letters to the residential address; the contact address is public | Not having a recent proof of address to hand | Yes |
| Constitution | Model or customised constitution is submitted at registration | Needing custom share rules and discovering it after incorporation | Yes |
| Controllers and nominees | Declarations for the registers of registrable controllers and nominee directors/shareholders | Not knowing who the ultimate controllers are in a group structure | Yes |
| Bank KYC file | Not an ACRA requirement, but the bank asks immediately after incorporation | A business description a compliance officer cannot verify | Prepare in parallel |

Opening the corporate bank account is usually the first real test after incorporation. Banks typically ask for the company’s Business Profile and constitution, identity documents and recent proof of address for every director and ultimate beneficial owner, and evidence that the business is real — contracts, invoices, a website, a clear description of who the customers are and where the money will come from. In our experience, applications stall on a vague business description far more often than on missing paperwork. We cover the full list in our guide to opening a Singapore business bank account as a non-resident.
Because Singapore’s registry is built for speed: online filing through Bizfile, standardised forms, and most approvals soon after payment. What the system cannot do is decide for you. Every open question — the year end, the cap table, the registered office, the documents — waits for the founder, and that is where days disappear. Founders who arrive with those decisions made usually find that incorporation is the fastest part of the whole move.
VIVOS PTE. LTD. is an ACRA Registered Filing Agent. Before a founder lands, we send the decision list above, agree the answers on a call, and prepare the registration and the bank file together, so ACRA’s speed becomes the founder’s speed. Come decided, not just prepared.
Most local company registrations are approved soon after payment of the S$300 fee. Complex applications can take up to 15 working days, and registrations needing approval from a referral authority take 14 to 60 days (ACRA, updated 24 September 2026).
No. ACRA requires foreigners to engage a registered corporate service provider to register a business, and the company must appoint at least one director who meets the local residency rules (ACRA name reservation page, updated 25 March 2026; registration page, updated 24 September 2026).
An approved name is held for 120 days. The company must be registered within that period, after which the name is released for others to use. The name application costs S$15 and is non-refundable (ACRA, updated 25 March 2026).
The financial year end (FYE) is the date the company’s accounting year closes. ACRA asks for it at registration because it drives the annual compliance calendar: the AGM must be held within 6 months of the FYE and the annual return filed within 7 months.
Yes. The registered office must be a Singapore address that is open and accessible to the public for at least three hours on each business day, so that legal notices can be delivered. Non-compliance can lead to a fine of up to S$5,000 (ACRA, updated 24 September 2026).
Typically the Business Profile, the constitution, identity documents and recent proof of address for every director and beneficial owner, and evidence that the business is real, such as contracts, invoices and a clear description of customers and funding.

Here’s how fast it is. Reserving the name with ACRA costs fifteen Singapore dollars; incorporation, three hundred. Most registrations are approved soon after payment — the company number lands in your inbox.
So what took the rest of his week? Not Singapore. Him. Choosing a financial year end. Agreeing the share split with his co-founder. Picking a registered office. Chasing proof of address for the bank’s due diligence.
Every delay was a decision he hadn’t made yet. That’s what founders learn here: the system is ready before you are. The bottleneck is rarely the regulator — it’s your own preparation.
Arrive with your directors, documents and decisions ready, and a Singapore company can be a morning’s work, not a week’s.
