Singapore Compliance Calendar When You Also Run an Overseas Company (2026)

A Singapore compliance calendar for 2026 runs on the financial year end: estimated chargeable income (ECI) within 3 months, the ACRA annual return within 7 months and Form C-S/C by 30 November. A Hong Kong or Malaysian sister company files its annual return from its incorporation anniversary instead, so both sets of dates belong on one calendar.
Key facts (as of October 2026)
- Singapore ECI: within 3 months after the financial year end; waived if revenue is S$5 million or less and ECI is nil (IRAS).
- Singapore annual return: within 7 months after the financial year end for a non-listed company, 8 months with a share capital and an overseas branch register (ACRA).
- Singapore Form C-S/C: by 30 November of the year of assessment, so 30 November 2026 for a 31 December 2025 year end (IRAS).
- The overseas company: Hong Kong annual return within 42 days after the incorporation anniversary, Malaysia within 30 days, UAE corporate tax return within 9 months after the tax period (Companies Registry; SSM; UAE Corporate Tax Law Art 53(1)).

What goes on the Singapore compliance calendar, and when?
| Filing | Rule | Deadline | Authority |
|---|---|---|---|
| ECI | Within 3 months after the year end, unless waived | 31 March 2026 | IRAS |
| Annual return (non-listed) | Within 7 months after the year end | 31 July 2026 | ACRA |
| Annual return (share capital and overseas branch register) | Within 8 months after the year end | 31 August 2026 | ACRA |
| Form C-S, C-S (Lite) or C | 30 November of the year of assessment (YA 2026) | 30 November 2026 | IRAS |
ECI is the company’s estimate of its taxable income for a year of assessment (YA), the year in which IRAS charges tax on the previous financial year’s income. The annual return updates ACRA’s record of the company’s directors, secretary, members and shares. Form C-S, C-S (Lite) and Form C are the versions of the corporate income tax return.
Does the ECI waiver also cover the tax return?
No. IRAS calls it a “waiver to file ECI”: companies with revenue of S$5 million or less and nil ECI “do not need to file their ECI for that particular YA”, and there is “no need to contact IRAS”. The same IRAS guide says corporate income tax returns “must be filed each year” and lists Form C-S, C-S (Lite) or C separately, due by 30 November (IRAS, Filing Obligations, checked 7 October 2026). ACRA adds that dormant companies also file tax returns unless IRAS has granted a waiver, and that the annual return is due even if the company is dormant or has a tax waiver from IRAS (checked 7 October 2026).
How do the Singapore dates line up with the overseas company?
Only by planning: your Singapore clocks run from the year end you chose, while the other company’s annual return runs from its incorporation anniversary, which you cannot move.
- Hong Kong: annual return within 42 days after the anniversary; profits tax return generally one month after its April issue.
- Malaysia: annual return within 30 days from the anniversary; Form C within 7 months after the year end.
- UAE: corporate tax return within 9 months after the tax period; no ESR reports for years ending after 31 December 2022.
Example: a 31 December year end in Singapore and a Hong Kong company incorporated on 10 June 2024. Hong Kong’s annual return is due by 22 July 2026 (10 June plus 42 days), Singapore’s by 31 July 2026: nine days apart. A Malaysian sister company with a 31 December year end files Form C by 31 July 2026 too.
Who is responsible if an agent files?
The directors. IRAS states that “directors remain responsible for accurate and timely filing” of the company’s income tax return, “even if a tax agent has been engaged” (IRAS, Filing Obligations, checked 7 October 2026). Whoever files, give each company’s calendar a named owner.
Frequently asked questions
When must a Singapore company file its ECI, and when can it skip it?
Within 3 months after the financial year end: 31 March 2026 for a 31 December 2025 year end. A company with annual revenue of S$5 million or less and nil estimated chargeable income (ECI) need not file, and IRAS says there is no need to contact IRAS to confirm (checked 7 October 2026). Form C-S or C is still due by 30 November.
Which 30 November is the Form C-S due?
30 November of the year of assessment. Singapore taxes company income on a preceding-year basis, so income for the year ended 31 December 2025 is assessed in YA 2026 and the return is due by 30 November 2026. IRAS’s own example: a 30 June 2024 year end files its YA 2025 return by 30 November 2025 (checked 7 October 2026).
Does a dormant Singapore company still file an annual return?
Yes. ACRA says every live Singapore company must file an annual return each year, even if it is inactive or dormant, or has been granted a tax waiver by IRAS. A non-listed company files within 7 months after its financial year end: 31 July 2026 for a 31 December 2025 year end (checked 7 October 2026).
Can a Singapore company change its year end to spread the deadlines?
Plan it early: ACRA says the financial year end cannot be changed after the annual return filing deadline has passed. The year end drives Singapore’s ECI (3 months) and annual return (7 months), while a Hong Kong or Malaysian sister company’s annual return stays tied to its incorporation anniversary (checked 7 October 2026).
